I am quite impressed that CIPRO’s website has already published the new forms to be used in relation to the new companies act. Even though there are only a few working days left in April to try and submit forms (especially for CC registrations), one can already fill out the new forms and submit them electronically (which is a wee bit cheaper than submitting them manually, by the way). However, the usual (old) CK7 and CK1 online registration process is still being utilised online (and probably will until 30/04/2011) by those familiar with the process.

    I urgently need to know whether the CK1 and CK2 certificates are still issued when registering a business with CIPC, if not, with what is it replaced. Also can you please advise which documents is issued by CIPC when registering different businesses eg. one man business, CC, PTY etc.
    PLEASE also fax me a sample of the different documents in respect of the above. This information is vital to us, the departments of transport and public works, as we need to share this information to all our registering authorities and other clients.

    • Please note that this is a blog, and a private one at that and has no direct or indirect affiliation or association with the CIPC whatsoever…
      CK forms will not be issued for new registrations as these pertain to CC’s and you can no longer do new registrations for CC’s. Have a look at their website – all the forms you’re looking for can be found and downloaded online.

    i recently find out that my company is deregisterd and i want it to be active again, so how can i do this as quick as possible,

    • First of all, with the CIPC nothing is “as quick as possible”; and secondly this process does take a while, but the following steps should be taken to re-instate a deregistered company:

      When a company and close corporation wants to apply for the restoration of that entity the following documentation needs to be lodged with the Companies and Intellectual Property Commission (CIPC), together with a fee of R200 for re-instatement:

      CoR 40.5 – Application for re-instatement of deregistered company;
      Certified ID copies of all members / directors;
      Certified copy of the ID of the applicant;
      Copy of extract in local newspaper giving 21 clear days notice of application to be re-instated;
      A copy of a deed search;
      If the deed search shows that there is immovable property owned by the company or close corporation that was deregistered, then
      Consent letter for re-instatement from Department of Treasury; and
      Consent letter for re-instatement from Department of Public Works.

    My two brothers and I recently opened a company under a new companies act. When we went to the bank to open a bussiness account, they wanted three certificates, CM 1- Certificate of Incorporation, CM 22- Notice of Registered Office and CM 29 Confirmation of Directors. A person who assisted me from CIPC told me that these forms are no longer valid under the New act, is this true, if yes then how come banks don’t know about such things?

    Gooday i just want to findout i went to the cipc office in pretoria to register my new business a lady inside came to me to assist me she said that she works there her name is Mariam she helped me with my name reservation i paid r50 for and then she said the full cost is r500 we filled in the documents and she took my paper work to submitt it i was told to return after three days to get my registration but now she is not answering my calls its my first time registering so how do i know if my company is registered im worried about my id copies that she took mine and my partners what do i do next thanx i have the reserved name

    • Hi,

      There has been numerous warnings in this regard from the CIPC. The unfortunate thing is that this was most probably someone that has scammed you and stolen your money (most probably). Please be careful as to anyone outside the building offering any assistance, as there are simply too many potential scammers out there!

    • Morning, Do you require a name to be reserved first? Or are you happy to have to registration number be the “company name” for now? W

    • Hi, Contact details should be on their website but I would assume going there and enduring the long queues and frustration is probably better. Good luck W

    • It is now the companies’ responsibility to issue the share certificate with accompanying share allotment forms, which should also be filed with SARS. W

    • Hi. You need to produce the following: Notice Change to MOI Special Resolution, Change of MOI, Share Allotment Conversion, Attendance Register, if applicable and a Board Report.
      Please note that the changes also have possible tax implications
